Legal Agreement – Gaana Hindi Pvt. Ltd.

This agreement applies to and is binding on all user partners, artists, labels, and music partners who use the services of Gaana Hindi Pvt. Ltd. (“the Company”). By creating an account or distributing music through our platform, you agree to the following terms and conditions:

1. Applicability of Agreement

This agreement automatically applies to all users, artists, labels, and partners who create an account with Gaana Hindi Pvt. Ltd. and use our digital music distribution or YouTube Multi-Channel Network services, even without signing a separate written contract.

2. Services Provided

Gaana Hindi Pvt. Ltd. provides digital music distribution services and YouTube Multi-Channel Network (MCN) services, delivering music to platforms including YouTube Content ID, Facebook Rights Manager, TikTok, Apple Music, Amazon Music, and other DSPs (Digital Service Providers).

3. Ownership of Rights

Users must have exclusive rights to all music (audio or video) submitted for distribution. If you do not own the rights, you are not permitted to distribute the content. Distribution of copyrighted works without permission is strictly prohibited.

4. User Responsibility

The Company is a service provider and does not take responsibility for rights ownership. Users, artists, and labels are solely responsible for ensuring they own the exclusive rights to their submitted content.

5. Fraud and Misuse Policy

Distributing copyrighted content without authorization or misusing the platform is considered fraud. In such cases, Gaana Hindi Pvt. Ltd. will share the user’s legal details (such as address, Aadhaar, PAN, or ID proof) with the copyright holder or legal authorities. Full responsibility lies with the user.

6. Distribution Scope

Once a release is submitted and approved, Gaana Hindi Pvt. Ltd. will distribute it to all digital music platforms, including YouTube, Facebook, TikTok, Apple Music, Amazon Music, and other DSPs.

7. Revenue Sharing

Revenue generated from distributed music is shared as follows:

  • 70% to the user (artist/label/partner)

  • 30% retained by the Company as a service charge

All reports are fully transparent.

8. YouTube Content ID Policy

Only original tracks with 100% ownership of master and composition rights may be submitted to YouTube Content ID. Submitting unauthorized or invalid references will result in account suspension, withheld payments, and possible penalties, including permanent closure.

9. Release Creation and Metadata

Users must ensure that metadata (title, artist, producer, songwriter, artwork, etc.) is correct and does not infringe on third-party copyrights. Incorrect or incomplete metadata may delay releases.

10. Copyright Monitoring

All distributed music is scanned on UGC platforms such as YouTube, Facebook, TikTok, SoundCloud, and Likee. Copyright claims detected on infringing uses will result in revenue being redirected to the rightful owner.

11. Release Approval Timeline

Submitted releases are reviewed within 3–5 business days. If errors are found (audio, artwork, or metadata), users will be notified to correct and resubmit. If approved, distribution to DSPs begins immediately.

12. Content ID Abuse Policy

Uploading your own tracks repeatedly, inserting them into movies/TV shows, or artificially generating revenue is strictly prohibited. Such abuse will result in account termination, removal of your catalog, and permanent withholding of payments.

13. Payment Schedule

Payments are processed monthly, but with a 4-month delay due to DSP payment cycles.

  • Example: Revenue earned in January is reported and received in April, and paid to users in May.

  • After the first 4-month wait, users receive monthly reports and payments every 30 days.

14. Copyright Strikes

If copyright infringement is reported on a user’s release:

  • The release will be taken down.

  • A strike will be added to the user’s account.

  • Three (3) strikes may result in account termination and withholding of payments for up to 2 years.

15. Exclusive Rights Requirement

Users may only distribute content they have created or fully own. If three (3) copyright strikes occur within three months, the Company reserves the right to close the account permanently and stop all payments for 2 years.

16. YouTube Channel Integration Policy

To join Gaana Hindi’s YouTube MCN or CMS:

  • The channel must already be part of the YouTube Partner Program.

  • All content must be original with exclusive rights.

  • Revenue sharing is 70% to the channel owner, 30% to the Company.

  • Once integrated, the Company may provide channel management, optimization, and support to help increase revenue and visibility.

17. Termination for Breach

If users violate any part of this agreement—including fraud, copyright infringement, misuse of Content ID, or false metadata—the Company reserves the right to:

  • Suspend or terminate accounts without notice

  • Withhold pending payments

  • Permanently block access to services
